It covers the client app, web portal and website, digital account opening and CRM, back office, margin trading, charts and insights, and a support desk. **Who makes LSNEP?** Lacspace Corporation Private Limited, a global technology company registered in Nepal. LSNEP is its product for Nepal's capital market. The same team builds and runs the StockYatra paper-trading app. **Who is LSNEP for?** Licensed stock brokers first, and the firms around them: merchant bankers and share registrars, depository participants, fund managers and portfolio managers, and market data or learning platforms. **Is LSNEP a broker or a trading app for investors?** No. LSNEP is software for licensed firms. It is not a broker, exchange or investment adviser, and it does not take orders, money or IPO applications from the public. Investors use the app their own broker gives them. **What does the name LSNEP mean?** LS stands for Lacspace and NEP for Nepal: Lacspace's capital-market product for Nepal. **Has Lacspace built capital-market software before?** Yes. Lacspace builds and runs StockYatra, a paper-trading app for NEPSE, NSE and US stocks, and is the technology partner and digital infrastructure provider for ShareRocketPro's NEPSE market data, charting terminal and practice-trading app. **Why does Nepal's market need a platform like this now?** Rules changed fast between 2025 and 2026: national ID onboarding, margin trading, new price bands, IT audits and SEBON's August 2026 directives on reconciliation and client funds. A September 2026 data-centre attack also took down 72 brokers' trading servers. Brokers need modern, auditable systems around the trading screen. Sources: [SEBON directives to brokers, NEPSE and CDSC, 26 Aug 2026 (ShareSansar)](https://www.sharesansar.com/newsdetail/sebon-issues-broad-directives-to-strengthen-nepals-capital-market-2026-08-26); [Recurring tech failures rattle Nepal's stock market, Sep 2026 (Kathmandu Post)](https://kathmandupost.com/money/2026/09/22/recurring-tech-failures-rattle-nepal-s-stock-market) **Where is LSNEP based and how do we reach the team?** The registered office is in Bhimsengola, Sinamangal-31, Kathmandu. You can call, WhatsApp or email the team from the contact page, or book a 30-minute demo. ### Platform and modules **What modules does LSNEP include?** Eight: the client app, web portal and website, account opening and CRM, support desk, back office, margin trading, charts and market insights, and a web trading portal that comes later, subject to NEPSE approval. **Do we have to replace our trading system?** No. LSNEP runs alongside the trading system you use today, whether that is NEPSE's TMS or your own approved one. Until our own trading portal is approved, the Trade button in your app opens your current system. **Can we choose only some modules?** Yes. Most brokers start with the website, client app and onboarding, then add the back office and margin module. Each module works on its own and gets better alongside the others. **Whose brand do clients see?** Yours. The app, portal and website carry your brokerage's name, logo, colours and domain, and the apps can be published from your own App Store and Google Play accounts. **Which modules come first?** Phase 1 is the website and client portal, the iOS and Android app, account opening, CRM and the support desk. Phase 2 adds the back office, margin module and a management dashboard. The web trading portal is Phase 3. **What is the web trading portal and when will it be available?** Our own order screen and trading system. It is a later phase and will be offered only once NEPSE approves it, or through an approved trading-system partner. We do not offer it before then. Sources: [NEPSE lets brokers run their own TMS, Jun 2022 (ShareSansar)](https://www.sharesansar.com/newsdetail/nepse-approves-securities-trading-operations-securities-brokers-can-have-their-own-tms-2022-06-17) **Does LSNEP work for brokers with many branches?** Yes. Every branch and remote work station runs on one ledger. Head office sees all branches, a branch sees its own clients, and every branch follows the same checklist and leaves the same trail. **Can LSNEP connect to our existing back office or accounting?** Yes, that is mapped in discovery. We can also run in parallel for a period and compare ledgers before you switch, branch by branch if you prefer. **Is there a management dashboard?** Yes. A management dashboard is part of Phase 2, with branch-level views and permissions. **How does LSNEP compare with building in-house or buying a TMS add-on?** We set out the trade-offs openly: time to launch, staff you need, approvals, and who carries security and upkeep. Read the comparison and decide what fits your firm. ### Client app and web portal **What can clients do in the app?** See their portfolio, ledger and T+2 settlement status, add funds by eSewa, Khalti or ConnectIPS, request payouts to their registered bank, download contract notes and statements, get alerts, and raise support tickets. **Is the app available on iOS and Android?** Yes. Both, in your brokerage's brand, and they can be published from your own App Store and Google Play accounts. **Can clients place trades from the app?** The Trade button opens your current trading system until our own trading portal is approved by NEPSE. Everything around the trade, from funds to settlement to statements, lives in the app. **Which payment methods can clients use to add funds?** eSewa, Khalti and ConnectIPS top-ups are built in. Payouts go to the client's registered bank account. **What is in the web portal?** A fast public website (fees, branches, IPO calendar, online sign-up) and a signed-in client portal that mirrors the app: holdings, ledger, settlement status, statements and support, with two-factor sign-in. **Do clients get contract notes and statements?** Yes. Contract notes are generated and sent by app and email, and clients can download contract notes, ledger statements and holding statements as PDFs. **Does the app send alerts?** Yes: settlement updates, contract notes, payouts, margin calls and support replies, by push notification and, for urgent items such as margin calls, SMS. **Can clients see charts and market data?** Yes, with the charts and insights module: candlestick charts, indicators, screeners, watchlists and price alerts. It shows data and tools only and never gives buy or sell advice. **Can the website show our IPO calendar and branches?** Yes. The public site includes an IPO calendar, fees, every branch with hours, phone and map, and online sign-up, all searchable and fast. ### Account opening, KYC and national ID **How does LSNEP handle national ID?** Account opening captures the national ID card or NID number, required for new trading accounts since August 2025, together with demat and Meroshare details, and keeps a record your compliance team can review. Sources: [National ID required for new trading accounts, Aug 2025 (ICT Frame)](https://ictframe.com/?p=86902) **Is national ID required for demat accounts too?** Yes. From Shrawan 1, 2083 (17 July 2026), the national ID number is reported as mandatory for new demat accounts and for KYC updates on existing ones. Sources: [National ID for new demat accounts from Shrawan 1, 2083 (ICT Frame)](https://ictframe.com/?p=118802); [CDS and Clearing Ltd (CDSC)](https://cdsc.com.np/) **Can clients open an account fully online?** Yes. Clients fill one guided form with national ID, demat and Meroshare details, bank checks and e-sign. Stalled applications are flagged and assigned so nobody falls through. **Can branch staff open accounts for walk-in clients?** Yes. Staff fill the same form on a tablet or desktop. The record is tagged to that branch and follows the same checklist and trail as an online application. **What is the CRM for?** It tracks every lead from enquiry to funded account, with lead source, branch and relationship manager on each record, so you can see where sign-ups stall and who owns the next step. **Does LSNEP support C-KYC?** SEBON's August 2026 directives call for C-KYC to be integrated with TMS. We will connect onboarding to C-KYC as that integration opens to brokers' systems. Sources: [SEBON directives to brokers, NEPSE and CDSC, 26 Aug 2026 (ShareSansar)](https://www.sharesansar.com/newsdetail/sebon-issues-broad-directives-to-strengthen-nepals-capital-market-2026-08-26) **Can onboarding connect to the national ID database?** Brokers have asked regulators for an API to the national ID database. Until one is available to brokers, LSNEP captures and checks the ID details and documents, and keeps the evidence on file. **What do we need from clients to open a trading account?** Typically national ID details, a demat account with its BOID, a bank account, photos and a signature. Your own policy and SEBON's rules set the exact list; LSNEP turns it into a checklist. **How do we show an inspector our KYC records?** Every application keeps who did what and when, the documents captured and the checks run, per branch. Compliance can read every record and export reports. ### Back office and margin trading **What does the back office cover?** Client ledgers, T+2 settlement tracking, commission, SEBON fee and DP charges, contract notes, payouts and branch reconciliation, on one ledger for every branch. **Does the back office follow SEBON's commission slabs?** Yes. Commission is calculated on the current SEBON slabs (in effect since 14 May 2024) with the Rs 10 minimum, plus the SEBON fee and DP charge. Rates are settings, so a new directive is a configuration change, not a rebuild. Sources: [Revised broker commission from 14 May 2024 (ShareSansar)](https://www.sharesansar.com/newsdetail/sebon-to-enact-revised-commission-rates-for-stockbrokers-implementation-begins-today-2024-05-14); [A member broker's published fee schedule](https://ssl.com.np/trading-commission-and-fees) **How does LSNEP help with SEBON's August 2026 directives?** The directives require real-time reconciliation of TMS holdings with CDSC, separate client bank accounts and timely T+2 payouts, among others. The back office is built around reconciled ledgers, segregated client funds and payout tracking. Sources: [SEBON directives to brokers, NEPSE and CDSC, 26 Aug 2026 (ShareSansar)](https://www.sharesansar.com/newsdetail/sebon-issues-broad-directives-to-strengthen-nepals-capital-market-2026-08-26) **Can we migrate from our current back office safely?** Yes. We import your data, run both systems in parallel for an agreed period and compare ledgers before you switch, branch by branch if you prefer. **Is the margin module only for licensed brokers?** Yes. Margin trading needs a licence. The module is switched on only for brokers who hold one, and limits and haircuts follow your policy and SEBON's rules. Sources: [Margin Trading Directive 2082 from Falgun 1 (ShareSansar)](https://www.sharesansar.com/newsdetail/margin-trading-directive-2082-to-come-into-effect-from-falgun-1-experts-raise-concern-over-implementation-2026-02-11) **What does the margin module do?** It values collateral on every price move, applies per-scrip haircuts, watches loan-to-value per client, and sends margin calls by app and SMS with the amount and deadline. It also produces interest and risk reports. **Are haircuts and limits fixed by LSNEP?** No. Eligible scrips, haircuts, per-client and per-scrip limits, and call and sell-down levels are settings your risk team controls. **What are the main rules for margin trading in Nepal?** The Margin Trading Facility Directive 2082 took effect on 13 February 2026. Reported terms include a Rs 200 million minimum broker paid-up capital and a 20% maintenance margin; reports differ on other limits. Brokers also need NEPSE and NRB permission. By mid-June 2026, 31 brokers held margin licences. No dates are set. We will build each when its rules are published. Sources: [SEBON committee on margin lending, intraday and SLB (ShareSansar)](https://www.sharesansar.com/newsdetail/sebon-forms-committee-to-implement-secondary-market-reforms-begins-work-on-margin-lendin) ### NEPSE, SEBON and the rules **Does LSNEP need NEPSE approval?** The modules in Phases 1 and 2 work around your existing trading system and do not need new NEPSE approval. Our own web trading portal is a later phase and will only be offered once NEPSE approves it, or through an approved partner. **Can a broker run its own TMS in Nepal?** Yes. Since June 2022, NEPSE's Securities Trading Operation procedures let brokers run their own TMS, built in-house or bought from a third party, subject to NEPSE approval and its conditions. Sources: [NEPSE lets brokers run their own TMS, Jun 2022 (ShareSansar)](https://www.sharesansar.com/newsdetail/nepse-approves-securities-trading-operations-securities-brokers-can-have-their-own-tms-2022-06-17); [Own-TMS rules for brokers (ShareSansar)](https://www.sharesansar.com/newsdetail/securities-brokers-can-have-their-own-tms-what-are-the-set-of-rules-brokers-have-to-follow-2022-06-27) **What are NEPSE's trading hours?** The regular session runs 11:00 to 15:00 Nepal time, Sunday to Thursday, with a pre-open session before it. Since April 2026, orders can be placed around the clock and execute only during market hours. Sources: [Round-the-clock order placement and new circuit rules, Apr 2026 (Kathmandu Post)](https://kathmandupost.com/money/2026/04/16/nepse-allows-round-the-clock-order-placement-as-trading-rules-revised); [Nepal Stock Exchange (NEPSE)](https://www.nepalstock.com/) **What is the daily price limit and circuit breaker?** Since 20 April 2026, a stock can move up to 15% in a day. An index move of 5% halts trading for 15 minutes, and an 8% move closes the market for the day. SEBON approved the move from T+3 in January 2021. Sources: [SEBON approves T+2 settlement (ShareSansar)](https://www.sharesansar.com/newsdetail/fingers-crossed-investors-may-now-get-their-shares-and-payment-faster-sebon-approves-t2-settlement-system-2021-01-08) **Do brokers need an IT audit?** Yes. NEPSE's March 2026 guidelines require an independent IT audit at least every two years, and within six months for new brokers. It covers TMS, back office, apps and websites, servers, controls and disaster recovery. Sources: [NEPSE IT audit guidelines for brokers (ICT Frame)](https://ictframe.com/?p=109352) **Does LSNEP give investment advice?** No. LSNEP shows data, charts and tools. It never gives buy or sell recommendations, and it is not a broker, exchange or adviser. **Who regulates Nepal's capital market?** SEBON (Securities Board of Nepal) is the regulator. NEPSE is the stock exchange, CDSC runs the depository, clearing and Meroshare, and Nepal Rastra Bank oversees banks and approves margin lending. Sources: [Securities Board of Nepal (SEBON)](https://www.sebon.gov.np/); [Nepal Stock Exchange (NEPSE)](https://www.nepalstock.com/); [CDS and Clearing Ltd (CDSC)](https://cdsc.com.np/); [Nepal Rastra Bank](https://www.nrb.org.np/) **How many brokers are there in Nepal?** SEBON lists 90 stock brokers and 2 stock dealers, and CDSC lists 92 clearing members (retrieved 2 November 2026). Sources: [Securities Board of Nepal (SEBON)](https://www.sebon.gov.np/); [CDS and Clearing Ltd (CDSC)](https://cdsc.com.np/) **What happened in the September 2026 TMS outage?** On 20 and 21 September 2026, a ransomware attack on one data centre took down the TMS servers of 72 brokers, and NEPSE halted trading for a day. It showed how concentrated the market's technology is. LSNEP publishes it, applies it to investor statements and keeps the history. **Can LSNEP power a market data or learning platform?** Yes: live market pages, charting, screeners, paper trading and learning, the same engineering behind StockYatra and ShareRocketPro. **Can investors buy, redeem or start an SIP online?** Yes, as requests through the investor portal, with the steps and checks your fund sets. **Can a DP handle pledge requests for margin lending?** Yes. Pledge and transfer requests are tracked with status and documents, which also supports brokers' margin collateral. **Can one group run several licensed firms on LSNEP?** Each licensed firm keeps its own data store and brand. How a group shares staff and reporting across its firms is scoped in discovery. ### Data, security and privacy **Is our data kept separate from other brokers?** Yes. Each brokerage gets its own data store. No client record is shared between firms. **Who in our firm can see what?** Access is role-based: branch staff, the risk desk, compliance and clients each see only what their role needs, and every change is written to an audit log. **How is sign-in protected?** Staff use two-factor sign-in, with session limits and rate limits on sign-in. The client portal also uses two-factor authentication. **Is data encrypted?** Yes, in transit. Backups are taken daily and tested by restoring them. **Is LSNEP security-tested before we go live?** Yes. Every brokerage gets an independent security test before its first clients go live. This also helps with NEPSE's IT audit. Sources: [NEPSE IT audit guidelines for brokers (ICT Frame)](https://ictframe.com/?p=109352) **What if LSNEP has an outage?** Your clients can still trade through your existing trading system, because LSNEP runs beside it. We monitor every service continuously and follow a written incident process. **What happens to our data if we leave?** You get a full export of your clients' data, and we delete our copy on request. **Who owns the client data?** Your firm does. You are the controller of your clients' data; Lacspace processes it only on your instructions under the Data Processing Agreement. **Will you tell us if there is a security incident?** Yes, without undue delay, followed by a written incident report. **Is there an audit trail?** Yes. Every change is logged with who made it and when. Compliance can read every record and the full audit log, and export reports. **How do we report a security vulnerability?** Email security@lacspace.com. Our security.txt lists the contacts, and we do not act against good-faith researchers. ### Rollout, pricing and support **How long does it take?** Discovery takes 2 to 3 weeks. Phase 1 (website, app, portal, onboarding, CRM and support) takes about 6 to 8 weeks after that. Phase 2 follows once Phase 1 is live. **What happens in discovery?** We map your systems and data, confirm NEPSE and SEBON requirements, and agree what to build first, in writing. **What does it cost?** Terms are agreed per firm after discovery, based on the modules and the number of active clients. Early design partners get partner terms. **What is the design-partner programme?** A small number of early brokerages join on partner terms in return for regular feedback, a pilot with real clients and, once they are happy, a case study published with their approval. **Who builds and supports LSNEP?** The Lacspace team, which also builds and runs the StockYatra trading-education app. You get a named contact for your rollout. **What do you need from our side?** A project owner, access to your current systems and data, your fee and policy settings, and time from compliance and operations to sign off each phase. **Do you train our staff?** Staff training is part of the rollout plan agreed in discovery: who needs it, on which screens, before your first clients go live. **How do we get support after launch?** Through your named contact and our support channels. Commitments on monitoring, backups and incident reports are written down in our Security and Service Commitments. **Can we see a demo first?** Yes. A 30-minute walkthrough on sample data, then a plan for what your firm needs first. **How do we know if our firm is ready?** Take the digital readiness check: a few questions on onboarding, client service, back office and risk, with a score and next steps. ### IPOs, FPOs and share issues **How do I apply for an IPO in Nepal?** Through Meroshare (ASBA). Log in during the open window, open My ASBA, choose the issue and your ASBA bank, enter the units and your CRN, then submit with your transaction PIN. Sources: [Meroshare (CDSC)](https://meroshare.cdsc.com.np/) **What do I need before I can apply?** A demat account with a linked Meroshare account (opened through any DP, a bank or broker), a bank account with ASBA enabled and your CRN, and your Meroshare and bank transaction PINs. Sources: [Meroshare (CDSC)](https://meroshare.cdsc.com.np/); [CDS and Clearing Ltd (CDSC)](https://cdsc.com.np/) **What is the minimum number of units I can apply for?** Usually 10 units (10 kitta) for an IPO. The issue's prospectus and the Meroshare form show the exact minimum and maximum. Sources: [Meroshare (CDSC)](https://meroshare.cdsc.com.np/) **Can I apply for an IPO through LSNEP?** No. LSNEP shows the calendar for information only. It does not accept applications or payments. Apply only through Meroshare or your ASBA bank. **How do I check my IPO result?** After the allotment date, check in Meroshare or at iporesult.cdsc.com.np with your BOID. Sources: [IPO result (CDSC)](https://iporesult.cdsc.com.np/) **When can I sell allotted IPO shares?** After the shares are listed on NEPSE. They appear in your demat once allotted; you sell them through your broker's TMS after listing. Sources: [Nepal Stock Exchange (NEPSE)](https://www.nepalstock.com/) **What is the difference between an IPO, FPO and rights issue?** An IPO is a company's first sale of shares to the public. An FPO is a further public offering by a company that is already listed. A rights issue offers new shares only to existing shareholders, in proportion to their holding. **What are IPOs for locals and for Nepalis in foreign employment?** Some issues reserve units for people of project-affected areas (locals) or for Nepalis working abroad with a valid labour permit. Our calendar shows who can apply for each issue. **Why do IPO statuses on LSNEP sometimes change during the day?** Statuses follow each issue's published opening and closing times in Nepal time (NPT). The calendar refreshes every 10 minutes, so an issue moves from upcoming to open to closed on schedule. **Where can I see past issues?** The past issues page lists closed, allotted and listed issues with their dates and types. **Can I follow new issues automatically?** Yes. Add our IPO RSS feed to any feed reader to get new issues as they are announced. **What is an issue manager?** The merchant banker that manages a public issue: it prepares the prospectus, collects applications through ASBA and runs the allotment. ### Trading costs, tax and calculators **How much commission do brokers charge in Nepal?** SEBON caps it by trade value: 0.36% up to Rs 50,000, 0.33% to Rs 5 lakh, 0.31% to Rs 20 lakh, 0.27% to Rs 1 crore and 0.24% above, with a Rs 10 minimum. At a glance: - lsnep.com is a website about LSNEP, Lacspace's technology for Nepal's stock brokers and market firms. - Calculators, market pages and the IPO calendar are for information only. They are not investment, tax or legal advice. - LSNEP is software for licensed firms. It is not a broker, exchange, depository or investment adviser, and it never takes orders, applications or money from investors. - Brokers who use the LSNEP platform sign a separate client agreement; where it differs from these terms, the signed agreement wins. ### 1. Who we are and what these terms cover lsnep.com is operated by **Lacspace Corporation Private Limited** (Reg. No. 377566/82/83, PAN 622468837), Bhimsengola, Sinamangal-31, Kathmandu 44600, Nepal ("Lacspace", "we", "us"). LSNEP is a Lacspace product. These Terms of Use apply to anyone who visits or uses lsnep.com, including its pages, calculators, readiness check, live market pages and IPO calendar (together, the "Site"). Using the Site means you accept these terms. If you do not accept them, please do not use the Site. ### 2. What LSNEP is, and is not LSNEP is technology for licensed capital-market firms in Nepal: broker-branded client apps, web portals, digital account opening, back office, margin management and support tools. Lacspace and LSNEP are **not** a stock broker, stock exchange, depository, merchant banker or investment adviser. We do not execute trades, accept IPO or share applications, hold investor money or securities, or give investment recommendations. Any brokerage services shown inside an LSNEP-built app are provided by the licensed firm whose name is on that app, under its own licence and terms. ### 3. Information on the Site Market data, broker activity, IPO and share-issue information, calculators and articles are provided for general information. Read our [Market Data and Investment Disclaimer](https://lsnep.com/legal/market-data-disclaimer), which forms part of these terms. Nothing on the Site is investment, tax, legal or financial advice. Do not buy or sell securities, or apply for an issue, based only on the Site. Confirm details with official sources such as NEPSE, SEBON, CDSC and Meroshare, and with your own adviser. Fees, tax rates and market rules change. We work to keep figures current and show the date where it matters, but we do not guarantee that every figure is complete, current or error-free. ### 4. Acceptable use You may use the Site for lawful purposes and for your own information or your firm's evaluation of LSNEP. You must not: - copy, scrape, re-publish or re-serve the live market or IPO data shown on the Site, in bulk or by automated means; - try to break, overload, probe or bypass the Site's security, rate limits or spam screening; - send false, misleading or abusive information through our forms, or impersonate another person or firm; or - use the Site in any way that breaks the law in Nepal or where you are. ### 5. Demo requests and contact When you send a demo request or message, you confirm the details are accurate and that you are allowed to share them. We use them as described in our [Privacy Policy](https://lsnep.com/legal/privacy-policy). A demo, walkthrough or proposal does not create a contract. A client relationship starts only when both sides sign a client agreement. ### 6. Brokers and firms using the LSNEP platform Firms that use LSNEP do so under a signed client agreement with Lacspace, together with our [Data Processing Agreement](https://lsnep.com/legal/data-processing-agreement) and [Security and Service Commitments](https://lsnep.com/legal/security-commitments). If anything in these Terms of Use conflicts with a signed client agreement, the signed agreement prevails for that firm. ### 7. Intellectual property The Site, the LSNEP name and mark, our text, illustrations and software belong to Lacspace or its licensors. You may share links to the Site and quote short passages with attribution. Each client firm owns its own brand and its own client data. Building an app in a firm's name does not transfer that firm's brand or data to Lacspace. ### 8. Third-party links and data The Site links to and shows information from third parties, including NEPSE, SEBON, CDSC, Meroshare and app stores. We are not responsible for their content, availability or accuracy. ### 9. Availability and changes We may change, suspend or remove any part of the Site at any time. Live data pages may show "unavailable" when a source does not respond; we do not fill gaps with estimates. We may update these terms. The version and effective date are shown at the top; continuing to use the Site after an update means you accept it. ### 10. Liability To the extent the law allows, the Site is provided "as is". Lacspace is not liable for any loss arising from use of, or reliance on, the Site's information, including trading or investment losses, missed issue windows, or decisions based on calculators. Nothing in these terms limits liability that cannot be limited by law. ### 11. Governing law and disputes Unless a signed agreement says otherwise, the governing law, jurisdiction and dispute-resolution provisions of the [Lacspace Terms of Service](https://lacspace.com/legal/terms-of-service) apply to these terms. We will always try to resolve a concern with you directly first. ### 12. Contact Questions about these terms: [compliance@lacspace.com](mailto:compliance@lacspace.com). Complaints: [grievance@lacspace.com](mailto:grievance@lacspace.com). General enquiries: [info@lacspace.com](mailto:info@lacspace.com). Operator: **Lacspace Corporation Private Limited** (Reg. No. 377566/82/83, PAN 622468837), Bhimsengola, Sinamangal-31, Kathmandu 44600, Nepal. PDF: https://lsnep.com/legal/terms-of-use/pdf --- ## Data Processing Agreement (v1.0, effective 2 November 2026) Source: https://lsnep.com/legal/data-processing-agreement How Lacspace handles a broker's client data on the LSNEP platform: the broker decides, we process on its instructions. At a glance: - The broker owns its client data and decides how it is used. Lacspace processes it only to run LSNEP for that broker. - Each brokerage's data is kept in its own separate data store, protected by roles, two-factor staff sign-in, audit logs and encryption in transit. - We tell you quickly about any incident affecting your data and follow up in writing. - When you leave, you get a full export, then we delete the data on your request. ### 1. Parties and scope This Data Processing Agreement ("DPA") is between the licensed firm using LSNEP (the "Client") and **Lacspace Corporation Private Limited** (Reg. No. 377566/82/83, PAN 622468837), Bhimsengola, Sinamangal-31, Kathmandu 44600, Nepal ("Lacspace"). It applies whenever Lacspace processes personal data on the Client's behalf in providing LSNEP, and forms part of the client agreement between the parties. A signed version of this DPA, if different, prevails. ### 2. Roles The Client is the **controller**: it decides why and how its clients' and staff's personal data is processed and is responsible for having a lawful basis and giving its clients any required notice. Lacspace is the **processor**: it processes that personal data only to provide, support and secure LSNEP for the Client, and only on the Client's documented instructions, including those given through the platform's settings. ### 3. What is processed **Data subjects:** the Client's investors and applicants, authorised persons and nominees, and the Client's staff who use LSNEP. **Categories of data**, depending on the modules the Client uses: - identity and KYC details, including national ID and the documents the Client collects for account opening; - contact details; - account references such as client codes, BOID or demat details and bank account details for payouts; - holdings, orders and trades received from the Client's systems, ledgers, settlement and fee records; - margin, collateral and limit records; and - support tickets and messages. **Purpose and duration:** to run LSNEP for the Client for the term of the client agreement and the exit period described below. ### 4. Lacspace's obligations Lacspace will: - process the data only on the Client's instructions, and tell the Client if it believes an instruction breaks the law; - ensure that everyone authorised to process the data is bound by confidentiality; - apply the measures in our [Security and Service Commitments](https://lsnep.com/legal/security-commitments); - never sell the Client's data or use it for its own purposes, advertising or to train models for other customers; and - keep each Client's data logically separate from every other Client's. ### 5. Security measures The measures include: a separate data store per brokerage; role-based access set per brokerage; two-factor sign-in for all staff; a full audit log of actions; encryption of traffic in transit with modern TLS; daily backups tested by restoring them; continuous monitoring; and an independent security test before each brokerage goes live. Lacspace may improve these measures over time but will not reduce their overall level of protection during the term. ### 6. Sub-processors The Client authorises Lacspace to use infrastructure and service providers ("sub-processors") to deliver LSNEP, such as cloud hosting, messaging and notification services. Lacspace will bind each sub-processor to data-protection terms no less protective than this DPA, remain responsible for its sub-processors, provide the current list on request, and give the Client notice before adding or replacing a sub-processor so the Client can raise a reasonable objection. ### 7. Personal data incidents If Lacspace becomes aware of a breach of security affecting the Client's personal data, it will notify the Client without undue delay, keep it updated until the incident is resolved, and provide a written incident report describing what happened, the data affected and the measures taken. Lacspace will cooperate with the Client so the Client can meet any duty to notify regulators or affected individuals. ### 8. Assistance to the Client Lacspace will help the Client, taking into account the nature of the processing, to: - respond to requests from individuals to access, correct or delete their data; - meet its security, record-keeping and incident obligations; and - respond to inspections, IT audits or information requests from SEBON, NEPSE, CDSC or other competent authorities, by providing relevant logs, records and documentation about LSNEP. ### 9. Audits and information Lacspace will make available the information reasonably needed to show compliance with this DPA, including security documentation and the results of security tests. The Client, or an auditor it appoints under confidentiality, may carry out a reasonable audit on prior written notice, during business hours and without disrupting other clients. ### 10. Location and transfers Data may be processed by Lacspace and its sub-processors in the countries where their infrastructure operates. Lacspace will apply appropriate safeguards to any such processing, and will comply with any data-location requirement that applies to the Client under Nepali law where the Client tells Lacspace about it. ### 11. Retention, export and deletion The Client decides how long its records are kept, including any period required by securities regulation. Lacspace keeps the data for as long as the Client's configuration and the client agreement require. At the end of the agreement, or earlier on request, Lacspace will give the Client a full export of its data in a usable format and then delete it from LSNEP, including from backups as they expire, unless the law requires Lacspace to keep it. ### 12. Liability and precedence Each party's liability under this DPA is subject to the limits in the client agreement, except where the law does not allow a limit. If this DPA conflicts with the client agreement on data protection, this DPA prevails. ### 13. Contact Data-protection questions and requests: [compliance@lacspace.com](mailto:compliance@lacspace.com). Your named rollout contact can also route any request. PDF: https://lsnep.com/legal/data-processing-agreement/pdf --- ## Privacy Policy (v1.0, effective 2 November 2026) Source: https://lsnep.com/legal/privacy-policy What lsnep.com collects, why, where it is kept, and the choices you have. At a glance: - We only collect what you type into our demo or contact form, plus the basic technical logs every website keeps. - Calculators, the readiness check and the market pages run without sending what you enter to us. - No analytics, no advertising and no tracking cookies on lsnep.com. - We never sell your details. Ask any time to see, correct or delete them. ### 1. Who is responsible lsnep.com is operated by **Lacspace Corporation Private Limited** (Reg. No. 377566/82/83, PAN 622468837), Bhimsengola, Sinamangal-31, Kathmandu 44600, Nepal. Lacspace decides how the information described here is used and is responsible for it. This policy covers the lsnep.com website only. Data that brokers hold about their own clients on the LSNEP platform is covered by each broker's own privacy notice and by our [Data Processing Agreement](https://lsnep.com/legal/data-processing-agreement). ### 2. What we collect **Demo and contact requests.** What you enter in the form: your name, work email, your firm or brokerage, your role, and optionally your phone number, broker number, the modules you are interested in and your message. **Technical logs.** Like every website, our hosting keeps short-lived technical records of requests (such as IP address, browser type, time and page requested) to deliver the Site, keep it secure and stop abuse. **What we do not collect.** Amounts entered in calculators, answers to the readiness check and your activity on market pages stay in your browser. We do not use analytics or advertising trackers. ### 3. Why we use it - to reply to your request, arrange a demo and follow up about LSNEP; - to prepare a proposal if you ask for one; - to screen out spam and protect our forms and systems; and - to meet legal obligations. We rely on your request (steps before a possible contract) and our legitimate interest in answering business enquiries and keeping the Site secure. ### 4. Who can see it Requests go to Lacspace's own systems and are seen only by the Lacspace team handling enquiries. We use established infrastructure providers to run the Site and our systems, including Vercel (website hosting) and Amazon Web Services (Lacspace's back-end systems). They process data on our instructions and are not allowed to use it for their own purposes. We do not sell, rent or trade your personal information, and we do not share it with other companies for their own marketing. ### 5. How long we keep it We keep enquiry details while we are in contact with you about LSNEP and for a reasonable period afterwards, unless you ask us to delete them sooner. Technical logs are kept for a short period and then deleted by our hosting provider. ### 6. Security Traffic to lsnep.com is encrypted in transit with TLS. Access to enquiries is limited to staff who need it, and staff sign in with two factors. ### 7. Your choices and rights You can ask to see the details we hold about you, correct them, or have them deleted, at any time. You can also ask us to stop contacting you. Email [info@lacspace.com](mailto:info@lacspace.com) or [hello@lacspace.com](mailto:hello@lacspace.com). If you are not satisfied with our answer, write to [grievance@lacspace.com](mailto:grievance@lacspace.com). ### 8. Cookies and storage lsnep.com does not set analytics, advertising or tracking cookies. See our [Cookie and Storage Notice](https://lsnep.com/legal/cookie-notice) for details. ### 9. Children The Site is meant for professionals at capital-market firms and is not directed at children. ### 10. Changes to this policy We may update this policy. The version and effective date at the top always show the current text. PDF: https://lsnep.com/legal/privacy-policy/pdf --- ## Cookie and Storage Notice (v1.0, effective 2 November 2026) Source: https://lsnep.com/legal/cookie-notice lsnep.com runs without analytics, advertising or tracking cookies. At a glance: - No analytics, advertising or tracking cookies. - Nothing about you is stored in your browser by lsnep.com. - Calculators work entirely on your device. ### 1. Cookies lsnep.com does not set analytics, advertising, social-media or tracking cookies, and does not use third-party trackers. Our hosting provider may use strictly necessary technical measures to deliver pages securely and protect the Site from abuse. These do not track you across websites. ### 2. Browser storage The Site does not save personal data in your browser's local storage. Interface state, such as whether the menu is open, lives only in the page while you use it. Calculator inputs and readiness-check answers are processed on your device and are not sent to us. ### 3. Third-party sites Links to other sites, such as app stores, Meroshare, NEPSE or lacspace.com, take you to sites with their own cookie practices. ### 4. Changes If we ever add cookies or analytics, we will update this notice first and, where required, ask for your consent. ### 5. Contact Questions: [info@lacspace.com](mailto:info@lacspace.com). See also our [Privacy Policy](https://lsnep.com/legal/privacy-policy). PDF: https://lsnep.com/legal/cookie-notice/pdf --- ## Security and Service Commitments (v1.0, effective 2 November 2026) Source: https://lsnep.com/legal/security-commitments The written promises we make to every brokerage on LSNEP, from first call to exit. At a glance: - A separate data store for each brokerage, with roles you control. - Every staff sign-in uses two factors, and every action is logged. - An independent security test before you go live, and daily backups we prove by restoring. - If something goes wrong, we tell you fast and follow up in writing. If you leave, your data leaves with you. ### 1. Who these commitments are for These commitments apply to every licensed firm that runs LSNEP under a client agreement with Lacspace. They sit alongside our [Data Processing Agreement](https://lsnep.com/legal/data-processing-agreement); a signed agreement may add to them. ### 2. Data separation and access - Each brokerage's data lives in its own separate data store. - Access is role-based. Default roles are set per brokerage and can be adjusted to how the firm works, for example limiting a branch to its own clients. - Every staff sign-in uses two factors. Clients can turn on two-factor sign-in in the app, and brokers can require it. - Every action that changes a record is written to an audit log the broker can read and export. ### 3. Protection and recovery - Traffic is encrypted in transit with modern TLS. - Backups are taken daily and tested by restoring them, not just by checking they exist. - Services are monitored continuously, and our team is alerted when something stops responding. ### 4. Before go-live Before any brokerage goes live, the platform is tested by an independent security reviewer, and findings are fixed first. ### 5. Independence from your trading system LSNEP runs beside the broker's trading system (TMS). If our platform has a problem, clients can still trade through the existing trading system. ### 6. Incidents If something goes wrong, we tell you quickly, keep you updated until it is resolved, and send a written account of what happened and what we changed. ### 7. Rollout - Discovery takes two to three weeks, followed by Phase 1 in about six to eight weeks, depending on scope agreed in writing. - Every brokerage gets a named rollout contact. - Modules that need approval from NEPSE or another authority go live only once that approval and any vendor criteria are in place. ### 8. Exit Client data stays under the broker's control when it leaves: a full export first, then deletion on request. ### 9. At a glance: - Market and IPO information on lsnep.com is for information only and may be delayed or incomplete. - Nothing here is investment, tax or legal advice, or a recommendation to buy, sell or apply. - Apply for public issues only through Meroshare or your ASBA bank. LSNEP never takes applications or money. - Confirm figures with official sources before you act. ### 1. Live market data NEPSE prices, indices, turnover, movers, sector figures and broker activity on lsnep.com come from a third-party data feed and are refreshed at intervals. They may be delayed, incomplete or temporarily unavailable. When a figure is unavailable we say so rather than estimate it. Broker activity is derived from the public floorsheet and is not a recommendation about any broker. Do not rely on lsnep.com for trading decisions. Use your broker's trading system and official NEPSE sources for live prices. ### 2. IPO and share-issue calendar The calendar of IPOs, FPOs, rights shares, mutual funds, debentures and auctions is curated from public notices and may lag official announcements. Opening and closing times, units, prices, eligibility and ratings can change. LSNEP does not accept applications or payments. Apply only through Meroshare or your ASBA bank, and confirm every detail in the issuer's official notice and on Meroshare before applying. Check results only on Meroshare or CDSC's result site. ### 3. Calculators and tools Brokerage, breakeven, capital gains tax, average cost, position size, bonus and right adjustment, margin LTV and readiness tools give estimates based on the rules and rates shown on each tool, as we understand them on the date stated. Fees, tax rates and market rules change, and your own situation may differ. The results are not tax or financial advice. ### 4. No advice and no offer Nothing on lsnep.com is investment, tax, legal or financial advice, or an offer or solicitation to buy or sell any security. Lacspace is not a broker, investment adviser or portfolio manager. Past market performance shown anywhere on the Site does not indicate future results. ### 5. Third-party sources References to NEPSE, SEBON, CDSC, Meroshare, issuers and other organisations are for information. Those organisations do not endorse LSNEP, and their official publications prevail over anything shown on lsnep.com. ### 6. Liability To the extent the law allows, Lacspace is not liable for any loss from reliance on market data, issue information or calculator results on the Site. See our [Terms of Use](https://lsnep.com/legal/terms-of-use). At a glance: - LSNEP is software for licensed firms, built and operated by Lacspace. - The broker owns its client data; we process it only to run LSNEP. - You can export everything and leave at any time. ### 1. Who operates LSNEP? **Lacspace Corporation Private Limited** (Reg. No. 377566/82/83, PAN 622468837), Bhimsengola, Sinamangal-31, Kathmandu 44600, Nepal. LSNEP is a Lacspace product for Nepal's capital market. ### 2. Is LSNEP a broker or investment adviser? No. LSNEP is technology for licensed firms. It does not execute trades, take IPO applications, hold investor money or give investment advice. Brokerage services in an LSNEP-built app are provided by the licensed firm named on it. ### 3. Who owns our clients' data? Your firm does. Lacspace processes it only to run LSNEP for you, under our [Data Processing Agreement](https://lsnep.com/legal/data-processing-agreement). We never sell it or use it for other customers. ### 4. Is our data kept separate from other brokers? Yes. Each brokerage has its own separate data store, with roles your firm controls and an audit log of every change. ### 5. Can we export our data and leave? Yes. You get a full export of your data in a usable format, and we then delete it on your request, as set out in our [Security and Service Commitments](https://lsnep.com/legal/security-commitments). ### 6. Do you sign a data processing agreement? Yes. Our [DPA](https://lsnep.com/legal/data-processing-agreement) forms part of every client agreement, and we can sign a version that reflects your firm's requirements. ### 7. What security do you commit to? Two-factor sign-in for all staff, role-based access, audit logs, encryption in transit, daily backups tested by restoring them, continuous monitoring and an independent security test before you go live. ### 8. What happens if there is an incident? We tell you quickly, keep you updated until it is resolved, and send a written incident report covering what happened, the data affected and what we changed. ### 9. Will LSNEP help with SEBON, NEPSE or CDSC requirements and IT audits? We provide the logs, records and documentation about LSNEP that your firm needs for inspections and IT audits, and design modules around current rules. Your firm remains responsible for its own regulatory compliance. ### 10. Does LSNEP need NEPSE approval? The client app, web portal, account opening, support desk, back office, margin and insights modules run beside your existing trading system. A web trading portal or own TMS needs NEPSE approval and must meet its vendor criteria before it goes live. ### 11. Can we rely on the market data and IPO calendar on lsnep.com? They are for information only and may be delayed or lag official notices. See our [Market Data and Investment Disclaimer](https://lsnep.com/legal/market-data-disclaimer). ### 12. How do we raise a complaint? Write to [grievance@lacspace.com](mailto:grievance@lacspace.com). For contract or data-protection questions, write to [compliance@lacspace.com](mailto:compliance@lacspace.com). Your named rollout contact can also route any concern.
