Nepal's capital market, mapped
Who does what, and where a broker's technology fits.
A plain map of Nepal's capital market: the regulator, the exchange, the depository, the firms licensed to serve investors, and the path every trade and every IPO takes. It is the context we design LSNEP around.

The participants
One regulator, two pieces of infrastructure, many licensed firms
Every investor reaches NEPSE through a chain of licensed firms. Each one runs its own systems, and each hand-off is a place where clients wait, call or give up.
Regulator
SEBON — Securities Board of Nepal
Licenses market intermediaries, approves public issues and sets the rules, including the broker commission cap
Market infrastructure
NEPSE — Nepal Stock Exchange
Lists securities, runs order matching and approves broker trading systems
CDSC — CDS and Clearing
Holds shares in electronic (demat) form and clears and settles trades; runs Meroshare
Intermediaries, licensed by SEBON
Stock brokers
Take client orders into NEPSE through a trading system (TMS)
Depository participants
Open and run demat accounts; many brokers and banks are DPs
Merchant bankers and registrars
Manage public issues and keep shareholder records for listed companies
Fund managers
Run mutual funds and portfolio management services
Banks
Hold investor cash, settle funds and block IPO money through C-ASBA
Investors
Individuals and institutions, each with a demat account, a bank account and a broker
The life of a trade
From a tap in the app to shares in demat
Seven steps sit between a client's order and a settled trade. Four of them are the broker's own work, and that is where LSNEP helps.
One buy order, start to finish
- 1
Order
Client, in the broker's app
The client picks a scrip, quantity and price, and sends the order.
- 2
Trading system
Broker's TMS
The order passes the broker's checks and goes to NEPSE through the approved trading system.
- 3
Matching
NEPSE
NEPSE matches buy and sell orders during the trading session.
- 4
Contract note
Broker
The broker issues a contract note with the price, commission and fees.
- 5
Clearing
CDSC
CDSC works out what each broker owes and is owed, in shares and in money.
- 6
Settlement, T+2
Broker, CDSC, banks
Buyers pay, sellers transfer shares from demat, and the broker settles with each client.
- 7
Done
Client
Shares arrive in the buyer's demat; money reaches the seller's bank account.
The trading system and NEPSE matching stay exactly as they are. LSNEP runs the client experience before the order and the records, settlement and payouts after it.
The life of an IPO
How a public issue reaches investors
Primary issues pull in new investors every year. Each one is a moment when a brokerage can win a new client, if opening an account is quick.
- 01
Approval
The company appoints an issue manager (a merchant banker) and SEBON approves the issue.
- 02
Application
Investors apply through Meroshare; their bank blocks the amount through C-ASBA.
- 03
Allotment
If the issue is oversubscribed, units are allotted by lottery and results are published.
- 04
Credit
Allotted shares are credited to demat accounts through CDSC; blocked money for unallotted units is released.
- 05
Listing
The shares are listed on NEPSE and become tradable through brokers.
Merchant bankers and registrars run much of this path. See LSNEP for merchant bankers and registrars, or follow live issues on the IPO calendar.
The rules shaping 2026
Key facts every broker is working with
Market hours
Four hours a day, five days a week
A NEPSE trading day, Sunday to Thursday
Nepal time (NPT)- Pre-open session
- 10:30 to 10:45
- Regular session
- 11:00 to 15:00
Hours change on public holidays and by NEPSE notice. Check nepalstock.com for the current schedule.
Trading happens in a short window, but clients check prices, ledgers and settlement status all day and all week. A good brokerage app works hardest outside market hours: answering questions, opening accounts and sending statements while the branch is closed.
